These Terms & Conditions govern access to and use of the NG Sign service operated by Next Gates AB ("we", "us", "our"). By creating an account, accessing the service, or sending or signing documents through NG Sign, you agree to these terms.
1. Service overview
NG Sign is a cloud-based electronic document workflow service that allows authorized users to create, send, review, approve, sign, and store agreement records and related evidence files.
2. Eligibility and account responsibility
- You must provide accurate registration and account information.
- You are responsible for keeping your login credentials secure.
- You are responsible for activity carried out under your account unless caused by our own fault.
- You must ensure that users you invite to your workspace are authorized to act on behalf of your organization where required.
3. Acceptable use
You agree not to use NG Sign to:
- upload or distribute unlawful, infringing, fraudulent, abusive, or misleading content;
- interfere with the service, attempt unauthorized access, or bypass security controls;
- send spam, malware, or harmful code;
- use the service in a way that breaches applicable law or third-party rights.
4. Customer content
You retain ownership of the documents, files, names, email addresses, signatures, and other content you submit to the service. You grant us a limited right to host, process, transmit, and store that content only as needed to operate, secure, and support the service.
5. Signatures and records
NG Sign provides document workflow and recordkeeping tools. You remain responsible for deciding whether electronic signatures, approvals, or document formats are appropriate for your legal, regulatory, or business requirements in your jurisdiction and use case.
6. Plans, billing, and subscriptions
- Paid plans are billed according to the subscription and billing settings shown at checkout.
- Fees are generally non-refundable unless required by law or expressly stated otherwise.
- We may suspend paid features if invoices remain unpaid after a reasonable reminder period.
- Plan limits, storage allowances, and included features depend on the active subscription tier.
7. Availability and changes
We aim to keep the service available and secure, but we do not guarantee uninterrupted availability. We may improve, modify, or discontinue features from time to time. Where changes materially affect paid customers, we will aim to give reasonable notice.
8. Security
We apply reasonable technical and organizational measures to protect the service and customer data. However, no online service can be guaranteed to be completely secure, and you should maintain your own internal controls, backups, and access management practices.
9. Suspension and termination
We may suspend or terminate access if you materially breach these terms, fail to pay applicable fees, or use the service in a way that creates legal, security, or operational risk. You may stop using the service at any time, subject to any subscription commitments already in place.
10. Intellectual property
The NG Sign service, software, branding, design, and supporting materials remain our property or the property of our licensors. These terms do not transfer ownership of our intellectual property to you.
11. Disclaimer
The service is provided on an "as available" basis except where a different service commitment is expressly agreed in writing. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages. Our total liability arising from the service will be limited to the fees paid by you for the affected service period during the 12 months before the event giving rise to the claim.
13. Governing law
These terms are governed by the laws of Sweden / jurisdiction, unless mandatory law requires otherwise. Any disputes will be handled by the competent courts of Sweden, unless mandatory law requires another forum.
